Acceptance and scope

By accessing or using this website, submitting an inquiry, requesting a quotation, sending product specifications, ordering samples, or entering into procurement discussions with Dafunay, you agree to these Terms of Service.

These terms are intended for business customers, including brand owners, importers, distributors, wholesalers, retailers, e-commerce sellers, commercial growers, and purchasing representatives. Our website and services are not directed to consumers purchasing products for personal or household use.

If you act on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms. If you do not agree with these terms, please do not use the website or submit commercial information to Dafunay.

Dafunay provides information and commercial support related to foldable hanging mesh drying racks, including 2-layer, 4-layer, 6-layer, and 8-layer configurations, associated packaging, accessories, private-label services, OEM development, and ODM manufacturing options.

Actual products may vary according to the approved specification, available materials, production process, buyer requirements, and applicable quality standards.

We may update, correct, suspend, or discontinue website content, product configurations, and service descriptions without prior notice. Website availability is not guaranteed, and we do not warrant that the website will always be uninterrupted, secure, error-free, or free from harmful components.

Quotation, payment and delivery

Orders and commercial transactions

An inquiry, indicative price, catalog, website listing, sample discussion, or preliminary communication does not constitute a binding offer to sell. A transaction becomes binding only when Dafunay issues a written quotation, pro forma invoice, sales contract, or order confirmation that is accepted in writing by both parties.

Prices, minimum order quantities, sampling charges, tooling costs, payment schedules, production lead times, delivery dates, shipping terms, and quality requirements are determined for each transaction. Unless expressly stated otherwise in writing, prices do not include freight, insurance, customs duties, import taxes, destination handling charges, bank charges, or destination-market compliance costs.

Buyers must review all commercial documents carefully before approval. Production may begin only after required deposits, approved samples, artwork, specifications, and other agreed prerequisites have been received. Changes requested after approval may result in revised pricing, lead times, minimum quantities, or additional costs.

Customization and proprietary assets

OEM, ODM and intellectual property

Dafunay may provide customization options for product dimensions, layer quantity, mesh and fabric materials, colors, zipper structures, hanging components, logos, labels, retail packaging, instruction materials, and other agreed product features. All customization is subject to feasibility review, minimum order requirements, sampling, technical limitations, and written approval.

The buyer is solely responsible for ensuring that any trademark, logo, artwork, packaging design, patent-related instruction, product claim, or other material supplied to Dafunay does not infringe the rights of any third party and complies with all applicable laws. The buyer grants Dafunay a limited right to use such materials solely to perform the requested development, sampling, manufacturing, packaging, and delivery services.

Unless otherwise agreed in a separate written agreement, Dafunay retains ownership of its pre-existing manufacturing methods, know-how, patterns, tooling concepts, technical drawings, production processes, and general product improvements. Ownership and use rights for buyer-specific materials will be governed by the applicable written commercial agreement.

Approval before mass production

Buyers are responsible for reviewing and approving final samples, artwork proofs, packaging layouts, product labels, and specifications before mass production. Dafunay is not responsible for errors that were present in buyer-approved materials unless otherwise required by a written agreement.

Risk, warranties and legal limits

Compliance, liability and governing terms

Buyers are responsible for determining whether products are suitable for their intended use, customers, local regulations, retail channels, import requirements, labeling obligations, safety expectations, and any testing or certification requirements in the destination market. Products are intended for drying and storage applications only as described in the applicable approved product documentation.

To the maximum extent permitted by applicable law, Dafunay will not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses, including loss of profit, business interruption, loss of goodwill, loss of market opportunity, or third-party claims arising from use of this website, delays, or commercial transactions.

Where liability cannot be excluded, Dafunay's total liability relating to a specific order will not exceed the amount actually paid to Dafunay for the affected products under that order, except where a different liability arrangement is expressly stated in a written agreement or required by applicable law.

These terms do not limit liability that cannot legally be excluded or limited. Any additional warranties, remedies, inspection procedures, confidentiality obligations, dispute resolution provisions, or governing law provisions agreed for an order must be set out in the relevant signed commercial document.

Force majeure

Neither party will be responsible for delay or failure caused by events beyond reasonable control, including natural disasters, strikes, supply disruption, transportation interruption, government action, public health events, war, or similar events.

Updates to these terms

Dafunay may revise these website terms from time to time. The effective date shown on this page identifies the current version. Existing signed commercial agreements remain governed by their own written terms.
